License agreement

Welcome to Beat World App and beatworld.ai (collectively referred to as the “Platform”), operated by The Beat World Inc. (“Producer,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of the Platform, including the use of desktop software to generate beats or instrumentals (“Beat World App”), and the purchase of pre-produced beats directly from our website (“beatworld.ai”).

By using the Platform, you agree to these Terms. If you do not agree, please refrain from using the Platform.

1. Services Provided

The Platform provides the following services:

Beat Generation via Desktop Software: Users can create, modify, and customize beats using the Beat World App.
Pre-Made Beats via Website: Users can browse and purchase pre-made beats directly from beatworld.ai.

All services are subject to these Terms.

2. Ownership of Platform

The Producer retains full ownership and control of the Beat World App, beatworld.ai, and all related intellectual property. Use of the Platform does not grant you ownership rights to the software, website, its content, or any underlying technology.

3. Beat Delivery

Beats will be delivered as follows:

• For Beat World App Users: Generated beats can be exported directly from the desktop software in formats such as WAV or individual stems.

• For beatworld.ai Users: Purchased pre-made beats will be delivered via download links sent to your registered email or through a user dashboard on the website.

4. Payment Terms

• For Beat World App Users: Payment for exportable beats must be made at the time of export via the App.

• For beatworld.ai Users: Payment for pre-made beats must be completed at checkout through the website.

Refunds and Disputes:

• All sales are final. Refunds are issued solely at the discretion of the Producer.

• In the event of a chargeback or dispute, all rights to the purchased or exported beats immediately revert to the Producer, and further use is prohibited.

5. Licensing, Publishing, and Master Ownership

Upon full payment, you are granted a license to use the purchased or generated beats. Licensing details depend on the nature of your purchase:

• For Beat World App: Custom-generated beats are licensed as per the App’s terms of use and may include exclusive or non-exclusive rights, as specified in the licensing options selected at export.

• For beatworld.ai: Purchased pre-made beats include a predefined license, specified at the time of purchase, which may vary between exclusive and non-exclusive options.

Ownership terms are as follows:

• Publishing Rights: 50% retained by Producer, 50% granted to you.

• Master Recording Rights: 50% retained by Producer, 50% granted to you.

6. AI-Generated Content

The Producer may use artificial intelligence (AI) tools in the creation of beats offered on the Platform. AI-generated content is guaranteed to be either original or properly licensed. Your use of such content is included in the rights granted under these Terms.

7. User Acknowledgements and Limitations

By using the Platform, you agree to the following:

1. Beat World App Users: Selecting chords, tempo, or other settings within the software does not entitle you to co-authorship or co-publishing rights for the generated beats. All composition rights remain solely with the Producer.

2. beatworld.ai Users: Purchasing pre-made beats does not grant ownership of underlying intellectual property beyond the license specified at the time of purchase.

8. Collaborations with Third Parties

The Producer may collaborate with third-party producers or contributors to create new beats or elements available on the Platform. These collaborations will not affect your rights under these Terms.

9. Warranties and Representations

The Producer represents and warrants that:

1. It has the legal right to provide Beat Production services and sell beats via the Platform.

2. Beats purchased from beatworld.ai and those generated via the App will not infringe on any third-party intellectual property rights.

3. Services comply with applicable laws.

However, the Platform and its services are provided “as is,” with no additional warranties beyond those explicitly stated.

10. Indemnification

You agree to indemnify and hold the Producer harmless against any claims, losses, or damages arising from your use of the Platform, except where such claims result from the Producer’s breach of warranty or intellectual property infringement.

11. Termination of Use

The Producer reserves the right to terminate or suspend your access to the Platform if you violate these Terms. Upon termination, you must cease using any purchased or generated beats unless full payment has been made and youmay be prevented from future platform use or purchases.

12. Refund and Dispute Policy

All sales are final. No refunds are available unless explicitly specified by the Producer.

13. Governing Law

These Terms are governed by the laws of [Jurisdiction], without regard to conflict of law principles.

14. Modifications to Terms

We may update these Terms from time to time. Any changes will be effective upon posting on the Platform, and continued use of the Platform constitutes acceptance of the modified Terms.

15. Intellectual Property Compliance

The Producer guarantees compliance with intellectual property laws for all beats, including those generated with AI tools.
